Many of our attorneys bring in-house and real-world, business-related experiences to the table when assisting clients with a variety of corporate transactions.  In doing so, our attorneys have a unique perspective when it comes to assisting a client with due diligence and counseling relating to the acquisition of other businesses and/or new technologies, negotiating and drafting license agreements, distribution agreements or franchise agreements and addressing  the regulatory issues relating to such agreements.  Our attorneys also assist clients by performing intellectual property audits.  When used in connection with an acquisition, such audits can prove invaluable because they identify not only the rights to be acquired, but also the potential limitations of such rights; in some cases, such audits have even revealed that the rights that a client sought to acquire were not actually owned by the selling company.
